To consider and, if deemed advisable, to pass, with or without variation, a special resolution (the "Arrangement Resolution"), the full text of which is set forth in Appendix C attached to the accompanying management information circular (the "Circular"), approving a statutory plan of arrangement under Chapter XVI - Division II of the Business Corporations Act (Québec) involving the Company and 1443373 B.C. Unlimited Liability Company an entity owned by certain funds managed by Blue Wolf Capital Partners LLC, as more particularly described in the Circular.
